Terms of Service

This document is illustrative and provided for design and layout purposes only. It does not constitute legal advice or a binding terms of service agreement.

These Terms govern your use of the saasups platform. Please read them carefully before connecting your AWS estate.

Acceptance

By creating an account or using any part of the saasups platform, you agree to be bound by these Terms of Service ('Terms'). If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not use the platform.

Description of service

saasups provides an AI-powered estate assessment platform that reads AWS environment configuration data under scoped read-only access and produces dependency maps, 7 R's modernization scoring, AWS target architecture recommendations, and FinOps migration-economics models ('Assessment Outputs').

We may modify, suspend, or discontinue features at any time. Where practical, we will provide reasonable notice of material changes.

Accounts and access

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at [email protected] if you suspect unauthorized access.

You may not share accounts across organizations or resell access to the platform without a written reseller agreement.

We reserve the right to suspend accounts that violate these Terms.

Acceptable use

You agree not to: attempt to gain unauthorized access to the platform or other users' data; reverse-engineer or decompile any part of the platform; use the platform for illegal purposes; or interfere with the availability or integrity of the service.

You are responsible for ensuring that any AWS accounts you connect belong to your organization or that you have explicit authority to connect them.

Read-only access and customer data

saasups connects to your AWS environment exclusively through a read-only IAM role. We do not write to, modify, delete, or otherwise alter any resource in your AWS account.

You grant saasups a limited, revocable license to read AWS configuration metadata solely for the purpose of generating your Assessment Outputs. You may revoke this access at any time by removing the IAM role.

You represent that you have the legal right to permit saasups to access the AWS accounts you connect, and that doing so does not violate any third-party agreement, regulation, or applicable law.

Assessment Outputs are generated from your estate data and are specific to your organization. We do not share your estate data with other customers.

Intellectual property

saasups retains all intellectual property rights in the platform, including the software, algorithms, and underlying models used to generate Assessment Outputs.

Assessment Outputs generated from your AWS estate data are owned by you. You grant saasups a limited license to use anonymized, aggregated patterns to improve the platform.

You retain all rights to your AWS configuration data. Nothing in these Terms transfers ownership of your data to saasups.

Disclaimers

Assessment Outputs are illustrative analyses based on configuration metadata read from your AWS environment at a point in time. They are not a substitute for professional engineering, financial, legal, or regulatory advice.

saasups does not guarantee that Assessment Outputs are complete, accurate, or suitable for any specific migration decision. Your engineering team is responsible for independently validating any recommendation before acting on it.

THE PLATFORM IS PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAASUPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO SAASUPS IN THE 12 MONTHS PRECEDING THE CLAIM.

Termination

Either party may terminate a subscription by providing 30 days' written notice. We may terminate or suspend your account immediately for material breach of these Terms.

Upon termination, your access to the platform ceases. We will delete your data in accordance with our Privacy Policy.

Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-platform notice at least 30 days before the changes take effect.

Continued use of the platform after the effective date of updated Terms constitutes your acceptance of the changes.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions.

Any disputes arising from these Terms will be resolved in the state or federal courts located in Delaware, and both parties consent to exclusive jurisdiction there.
